By accessing the Members One eCommerce Subscription & Club Management website (“Members One”), you agree to these Terms & Conditions, all applicable laws, and any relevant local regulations. If you do not agree, you must not use or access this site. These Terms & Conditions work together with our Privacy Policy and Cookie Policy.

Materials on the Members One website are provided “as is.” Members One disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property. Members One makes no representations regarding the accuracy, reliability, or likely results of using these materials.

In no event shall Members One or its suppliers be liable for damages (including loss of data, profit, or business interruption) arising from use—or inability to use—materials on the website, even if advised of such possibilities. Cost of Service & Recurring Charges

You will be shown all subscription plan details—including costs and payment methods—during registration or plan changes. You can manage or cancel your plan at any time from your admin panel.

 

Authorisation

You authorise Members One to instruct the financial institution that issued your card to charge your card account under these Terms.

 

Free Trial

A standard 30-day free trial is offered upon sign-up. In some cases, you may receive a special link for an extended trial. During the free trial, you won’t be billed service fees; however, transaction fees may still apply. Once your trial ends, your chosen payment method will be charged for your plan and any add-ons.

 

Service Fees & Billing Cycle

Members One service is billed monthly on your subscription anniversary date unless you choose an annual plan, in which case you will be billed annually on your anniversary date.

 

Transaction Fees

  • If you use Stripe as your payment gateway, transaction fees are taken when your customers are billed.

  • For other gateways (if available), transaction fees may vary according to that provider’s terms.

 

Add-ons (If Available)

Additional features may incur extra costs. You will be notified of any charges and asked to confirm before adding them.

 

Delinquency

If payment fails and your account becomes past due, your account may be suspended immediately. A suspended account means your store is inactive and will no longer process customer transactions.

 

Refunds

No refunds are provided after the free trial. If you wish to avoid billing, cancel before the trial ends. Transaction fees are non-refundable.

 

Cancellations

Once your free trial ends, cancellations require 30 days’ notice. Cancel from your admin panel to stop further billing.

 

Affiliation

Members One is not affiliated with the businesses using our subscription platform. Merchants, not Members One, are responsible for delivering products or services sold on their websites.

 

Misconduct

We reserve the right to suspend users for inappropriate platform use, with written notice. Merchants must own the rights to their materials. Copyright infringement is prohibited. Merchants must keep customers satisfied and act honestly.

 

Liability

Members One is not liable for damages, losses, or downtime. We strive for 99.9% uptime but cannot guarantee uninterrupted service due to potential external or unforeseen issues. Please report any issues so we can resolve them.

 

Rights, Ownership & Data

Data processed by Members One is stored according to our Privacy Policy. We may analyse anonymized data and hold full rights to data processed on our servers on behalf of merchants. Merchants retain rights to their own customer data and are responsible for its accuracy.

We reserve the right to publish non-personally identifiable testimonials and merchant stories. Merchants can request the removal of such content as outlined in our policies.

 

Compliance

Users must comply with all relevant laws, including GDPR if applicable. Members One assists merchants by maintaining its own compliance and providing GDPR-related tools. Merchants must fulfil data requests from EU customers and notify Members One when needed.

 

Modifications

Members One may update or revise these Terms & Conditions at any time without notice. Continued use of our website after such changes indicates your acceptance.

 

Governing Law

These Terms & Conditions are governed by the laws of Australia. You irrevocably submit to the exclusive jurisdiction of courts in that State or location.
